This software license agreement is between TPS of Illinois, Incorporated ("TPS of Illinois, Incorporated") and you
and/or your organization ("End User") for the use of any TPS of Illinois, Incorporated software and any
accompanying documentation.
By installing and using any TPS of Illinois, Incorporated software, you agree to the following:
1. You acknowledge that TPS of Illinois, Incorporated retains ownership of the Software and/or source
code with all rights therein.
2. You are not authorized to offer the commercial use of the Software beyond the End User. You may
allow business partners in the process of conducting normal business practice free access to the
Software.
3. The purchase of any TPS of Illinois, Incorporated software allows you to customize the software for
the End User’s needs. You are authorized to use the Software on as many sites ("Site(s)"), internally or
externally. You may add as may users to the Site(s) as you need. You may not offer the original
Software or any modification of the Software for resale under the name TPS of Illinois, Incorporated
Software or any other name.
4. Disclaimer of Warranty and Limited Warranty
THIS SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED
OR IMPLIED. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS
WITH YOU. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL
NECESSARY SERVICING, REPAIR, OR CORRECTION. TPS OF ILLINOIS, INCORPORATED
SOFTWARE DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THIS SOFTWARE WILL
MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THIS SOFTWARE WILL BE
UNINTERRUPTED OR ERROR-FREE. IN NO EVENT WILL TPS OF ILLINOIS, INCORPORATED
SOFTWARE BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SALES,
INJURY TO PERSON OR PROPERTY OR ANY OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES
ARISING OUT OF THE USE OR INABILITY TO USE THIS SOFTWARE EVEN IF TPS OF ILLINOIS,
INCORPORATED SOFTWARE OR ITS AUTHORIZED REPRESENTATIVE(S) HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. IN NO EVENT
SHALL TPS OF ILLINOIS, INCORPORATED SOFTWARE’S LIABILITY EXCEED AMOUNTS PAID TO TPS
OF ILLINOIS, INCORPORATED SOFTWARE BY YOU UNDER THE TERMS OF THE AGREEMENT.
5. Any activity which violates the terms of this agreement can be subject to legal actions by TPS of Illinois,
Incorporated.
These terms cannot be changed without written and signed permission from TPS of Illinois, Incorporated
Software.
